SOUTH SHORE CORVETTE CLUB
BY-LAWS


Article I

Section 1 – Name

The name of the club shall be the South Shore Corvette Club.

Section 2 – Purpose

The general purpose of the club shall be to:

encourage planned trips, events and social gatherings for the members of the South Shore Corvette Club;
provide and regulate events and the exhibitions for Corvette owners;
encourage careful and skillful driving on public highways; and
act as a good citizen in the community through the support of charitable causes.

Article II

Section 1 – Members

Membership in the club shall be restricted to owners of Corvettes. Applicants must:

be a minimum of 21 years of age;
submit a completed application; and
submit payment of annual dues in full with the application.

Applicants can expect the application/approval process to be completed at the monthly meeting at which they applied. Any applicant may be denied membership on the grounds of moral turpitude.

Section 2 – Conflict of Interest (see amendments)

Any present member cannot join another Corvette club within New England due to a conflict of interest. Any member may join another Corvette club outside of New England. Any member who wishes to join another Corvette club within New England will have to come before the Officers’ Board for further discussion as to remaining a member of the South Shore Corvette Club or face the possibility of expulsion.

Section 3 – Classes of Membership

Active – Any person or partnership having paid annual dues.

Section 4 – Voting rights

One vote per active membership.

Section 5 – Dues

Annual dues shall be $60.00, payable in full no later than January 31 of each year. If any check made payable to the South Shore Corvette Club is returned due to insufficient funds, that member will be held liable to the club for all bank charges levied against the club’s treasury due to that returned check.


Section 6 - Expulsion

Membership will automatically lapse on February 28 for non-payment of dues.

Any member may be expelled due to:

non-payment of dues which lapses on February 28 for non-payment;
the member no longer owning a Corvette, except for extenuating circumstances; or
behavior that is not in the best interest of the club.

Any member may be expelled for infraction of the club rules, or such other causes, as (1) may be determined by the majority of the members, and (2) voted upon by a majority of the club officers as being in the best interest of the club. However, before such action is taken, the member shall have the opportunity to submit in writing or in person his/her position on any charge of which he/she shall be notified.

Any member selling his/her car and planning to buy another Corvette, for all intent and purposes, shall remain an active club member as long as within a three (3) month period, another Corvette is purchased or ordered. If such an active member, due to extenuating circumstances, does not purchase another Corvette within the three month period, yet still remains active, interested and continues to pay dues, the officers of the club may allow the member to remain on a month-to-month basis by unanimous vote at each Officers’ Meeting (after the initial 90-day period) if the retention of this member appears to be in the best interest of the club, and if it reasonably appears that the purchase of another Corvette will be made when those extenuating circumstances have subsided.

Section 7 – Resignation

Any member may resign by directing a letter of resignation to the Secretary, or in the case of a verbal resignation, in the presence of the Secretary and one other club officer. Resignation from the club shall include a three (3) month grace period, but shall be subject to the approval of the majority of the members.

Article III

Section 1 – Annual Meetings

The Annual Meeting of the members shall be held once each fiscal year for the election of officers, reports of officers and committees, and for such other business as lawfully may come before this meeting. The last monthly meeting held in October shall be considered the Annual Meeting.

Section 2 – Monthly Meetings

Regular monthly meetings of members shall be held on the last Thursday of each month (with the exception of November and December when no monthly meetings are held), or whatever day is designated by a vote of the majority of the membership present. The monthly meetings shall be held at the Weymouth Elks Club (Couples Lounge), 1197 Washington St. (Rte. 53), Weymouth, MA at 7:00 p.m., or whatever place and time is designated by a vote of the majority of the membership present.

Section 3 – Officers’ Meetings

The President, Vice-President, Secretary, Treasurer, Public Relations Director, Officer-at-Large, and Web Site Director shall meet to discuss club business. Said meetings shall be held once a month, not more than 14 days before a regular monthly meeting of the general membership of the club. Any member may, with prior notice, be placed on the Officers’ meeting agenda and attend that meeting, if they so desire.

Section 4 – Special Meetings

In addition to any provisions of the law, special meetings of the members may be called by the President or by a majority of Officers or by a petition of 10 members or more.




Section 5 – Notice of Special Meetings

Notice of special meetings, stating the place, day, hour and purpose of any special meetings of the members shall be given by the Secretary and sent to each member not less than seven (7) days and not more than ten (10) days before such meeting.

Section 6 – Quorum

At all stated meetings of the members, all members present shall constitute a quorum.

All action regarding club business shall be by a simple majority of the quorum. Voting by proxy or absentee ballot shall be allowed by obtaining a ballot from the President. If any member at a meeting requests a secret ballot on any action requiring a vote, a secret ballot will be taken
.

Article IV

Section 1 – Number of Officers

The elected officers of the club shall be a President, Vice-President, Secretary, Treasurer, Officer-at-Large, Public Relations Director, and Web Site Director. They shall each serve for one (1) year or until successors are elected. Any member is eligible to hold office after being a member for one (1) year, with the exception of Treasurer who must be a member for two (2) years.

Section 2 – Election of Officers

Election of officers shall be held at the Annual Meeting in October. All officers shall be elected by a majority vote. Members in good standing who wish to vote by absentee ballot shall request same from the President prior to the election meeting and shall submit their sealed ballot to either the President or to the club’s post office box in an envelope clearly marked BALLOT in due time prior to that election, at which time it shall be opened and counted in with the ballots of those present at the election meeting.

Section 3 – Resignation of Officers

In the event that any of the aforementioned officers shall resign or become unable to hold office before the end of his/her elected term, the club members shall nominate a member to fill said vacancy. This nominee shall be voted upon by the membership and must be approved by a majority of members present. The election must be held no more than two (2) meetings after said resignation.


Article V

Section 1 – Duties of the President

Oversees and provides leadership and direction as to the on-going operation of the South Shore Corvette Club.
Meets, at a minimum, once a month with Officers to discuss issues, events, and future activities of the club.
Delegates various duties of Officers; provides appropriate follow-up.
Is the single voice and representative of the club when dealing with outside agencies, organizations and other clubs.
Holds monthly business meetings with membership to keep them apprised of upcoming events/activities.
When warranted, puts out for vote to membership any suggested changes that would significantly impact the club as a whole.

Section 2 – Duties of the Vice-President

Represents the President in the President’s absence.
Hands out new membership packages.
Provides “New Rides” write-up for web site.

Section 3 – Duties of the Secretary

Maintains updated membership list; provides updated lists at business meetings.
Prepares new member packages for President and Vice-President to sign and distribute.
E-mails membership with information on events, shows, etc.
Prepares rough drafts of letters for President’s approval and signature.
Has custody of all club records, communications.
Shall attend all meetings of the members and officers and shall record all minutes and votes in a book kept for this purpose.

Section 4 – Duties of the Treasurer

Has custody of all monies, debts and obligations belonging to the club.
Shall make all payments of the club’s debts upon approval of the President.
Give bond, at club expense, if required by the officers.
Give a report on the financial status at meetings, when appropriate.

Section 5 – Duties of the Public Relations Director

Serves as club liaison with media.
Is the club contact person for parades, events, charities, to obtain information,
give-aways, donations, etc.
Provides, on a monthly basis, a “club calendar” of events to Web Site Director for inclusion on web site.
Responsible for paper goods and supplies for club meetings and events.
Checks post office box regularly for club mail.

Section 6 – Duties of the Officer-at-Large

Temporarily fill any vacancy caused by the absence of any officer.
Perform duties of President only in the absence of both the President and the Vice-President.
Coordinate all “Store” activities, orders, monies, merchandise.

Section 7 – Duties of the Web Site Director

Responsible for development and design of web site.
Obtain information on upcoming events from Public Relations for inclusion in web site.
Keep web site updated, including any and all links to other sites.
Remove inappropriate postings from Guest Book.


Article VI

Section 1 – Appointment of Committees

The President shall appoint such committees as he/she finds desirable from time to time and shall outline the duties and responsibilities of the committees. All reports of action taken by a committee must be voted by a majority of the entire committee. In addition, by the authority granted above, certain staffing committees, as set forth, shall be appointed annually by the Vice-President.

Section 2 – Activities

The activities of the club shall consist of planned trips, gatherings and events for Corvette owners planned by any member wishing to coordinate such activity.


Section 3 – Road Rules

During a planned trip by the club:

all cars should abide by the posted speed limit;
on secondary roads, all cars shall be in single formation;
on highways, in some formation.
During inclement weather or heavy traffic, all cars shall form single file.

Before each planned trip, the lead car, as well as the last car, shall be appointed by the Event Coordinator. Any change shall again be done by the Event Coordinator and will be done before the trip.

Before departing on a trip, the rules shall be brought to the attention of all present.

Any member breaking these rules may risk suspension.

The Event Coordinator should write up a brief article about the event for the web site.


Article VII

Section 1 – Fiscal Year

The fiscal year of the club shall be from November 1 to October 31 of the following year.

Article VIII

Section 1 – Personal Liability

All persons or corporations extending credit to, contracting with, or having any claims against the club or the officers, shall look only to the funds and property of the club for payment of any such contracts or claims or for payment of any debt, damage, judgment or decree, so future, shall be liable personally therefore.

Article IX

Section 1 – Amendment to the By-Laws

The officers of the club, or any ten active members in good standing by written proposals submitted to the Secretary, may propose an amendment to the By-Laws. Upon such proposal being made, a copy thereof shall be included in the note of the next meeting of the members. If a majority of the members present and qualified to vote, vote in favor of the proposal at the next meeting, the proposed amendment shall thereby be approved and adopted.

SECTION 2 – Amendment to the By –Laws (April 2007)

Article 2 Section 2 Conflict of interest. This section that denies membership in another corvette club has been dropped from the By Laws.

Revisions to the South Shore Corvette Club by-laws were voted upon and approved by the majority of those members present on September 29, 2005.
